1. INTRODUCTION & ACCEPTANCE OF AGREEMENT

Welcome to The People’s Hub! These Terms of Service ("Terms", "Terms of Service", or "Agreement") form a binding, enforceable legal contract between you ("User", "you", or "your") and The People’s Hub ("The People’s Hub", "we", "us", or "our"). This Agreement governs your right to access, browse, interact with, and utilize The People’s Hub website, subdomains, mobile applications, API interfaces, software, communication platforms, and associated online services (collectively, the "Service" or "Platform").

1.1 Legal Agreement Governing Your Use

Please read these Terms of Service carefully before using the Platform. By accessing, registering for, browsing, or utilizing any portion of the Service, you confirm that you have read, understood, and agreed to be legally bound by all terms, conditions, policies, and guidelines incorporated herein by reference.

1.2 Lack of Consent to Terms of Service

If you do not agree to every provision contained within these Terms of Service, you do not have permission to access or use the Platform. Therefore, you must immediately cease all use of the Service.

1.3 Corporate Authority Under These Terms of Service

Furthermore, if you access or use the Service on behalf of an organization, movement, non-profit, coalition, corporate entity, or collective, you represent and warrant that you possess full legal authority to bind that entity to these Terms of Service. In such cases, the terms "you" and "your" will refer directly to that legal entity.

2. ELIGIBILITY & ACCOUNT REGISTRATION

2.1 Age Requirements

To use The People’s Hub, you must be at least 13 years of age (or the legal minimum age required in your jurisdiction to consent to digital data processing without parental authorization). As a result, anyone under the age of 13 may not create an account or use the Service under any circumstances.

2.2 Account Creation Guidelines

To access specific features, communication rooms, organizing tools, or resource repositories, you may need to register a User Account ("Account"). When you register, you agree to:

  • Provide true, accurate, current, and complete information during the registration process.

  • Maintain and promptly update your Account details so that they remain accurate and complete.

  • Refrain from creating an Account using a false identity, fake email address, or stolen credentials.

2.3 Account Security Responsibilities

You hold sole responsibility for protecting the confidentiality of your login credentials, including passwords, multi-factor tokens, and recovery keys. Consequently, you are entirely responsible for any and all activities that occur under your Account, regardless of whether you authorized those activities under these Terms of Service.

2.4 Unauthorized Access

If you suspect or discover any security breach, unauthorized access, or loss of login credentials, you must notify us immediately. However, The People’s Hub will not be liable for any losses or damages caused by unauthorized use of your Account prior to your notice to us.

3. DEFINITIONS & SCOPE OF THESE TERMS OF SERVICE

To clarify the legal scope of this Agreement, the following terms hold specific meanings throughout these Terms of Service:

  • "Account" means a registered personal or organizational profile created by a User to access designated tools on the Platform.

  • "Content" includes, but is not limited to, text, forum posts, documents, images, graphics, audio, video, software code, organizing toolkits, links, messages, and graphics published, uploaded, or transmitted on the Platform.

  • "User Content" means any Content created, posted, uploaded, shared, or transmitted by Users through the Service.

  • "Platform IP" refers to all proprietary code, site design, databases, user interfaces, branding, logos, trademarks, and documentation owned and maintained by The People’s Hub.

  • "Third-Party Services" refers to external platforms, websites, software integrations, payment processors, or external resources linked to or embedded within the Service.

4. ACCEPTABLE USE & COMMUNITY STANDARDS UNDER OUR TERMS OF SERVICE

The People’s Hub exists to foster community organizing, grassroots support, and equitable social movement building. Therefore, we require all Users to maintain high standards of civic respect, safety, and constructive engagement as set forth in these Terms of Service.

4.1 Safe Space Principles

We prioritize creating an inclusive environment free from systemic oppression, bad-faith disruption, and hostility. When interacting on the Platform, you agree to engage constructively with other movement participants, activists, and community members.

4.2 Prohibited Speech and Content

You agree that you will not post, upload, transmit, or distribute User Content that:

  • Promotes Discrimination or Hate Speech: Includes content that attacks, dehumanizes, incites hatred against, or marginalizes individuals or groups based on race, ethnicity, national origin, religion, disability, gender identity, age, sexual orientation, or socio-economic status.

  • Involves Harassment or Intimidation: Targets individuals with malicious intent, persistent unwanted contact, cyberbullying, stalking, or direct personal attacks.

  • Incites Real-World Harm: Directly threatens, encourages, coordinates, or promotes physical violence, bodily harm, or severe illegal property damage against any individual, community, or public resource.

  • Contains Explicit or Exploitative Material: Features sexually explicit, graphic, pornographic, or non-consensual imagery, as well as any material depicting the exploitation of minors.

  • Spreads Malicious Disinformation: Distributes deliberately deceptive information intended to disrupt democratic processes, manipulate vulnerable groups, or endanger public health and safety.

5. PROHIBITED ACTIVITIES & SYSTEM INTEGRITY

To maintain the reliability and security of the Platform, you must follow strict technical and behavioral boundaries defined by these Terms of Service.

5.1 Technical Violations

Specifically, you agree that you will not:

  • Interfere with Platform Security: Attempt to probe, scan, test, or breach the vulnerability of any network, server, firewall, or authentication system connected to the Service.

  • Deploy Automated Systems: Use web crawlers, scrapers, automated bots, spider tools, or data mining software to extract data or Content from the Service without our prior written authorization.

  • Distribute Malicious Software: Upload, transmit, or link to files containing viruses, Trojan horses, ransomware, spyware, worms, logic bombs, or any other destructive software components.

  • Execute Cyberattacks: Launch Denial of Service (DoS) attacks, Distributed Denial of Service (DDoS) attacks, automated spamming campaigns, or network flooding actions against our servers.

  • Engage in Reverse Engineering: Decompile, disassemble, reverse engineer, or attempt to derive source code from any software powering the Platform.

5.2 Commercial and Fraudulent Misuse

Additionally, you agree that you will not:

  • Commercialize Without Consent: Monetize, sell, rent, lease, or sub-license access to the Platform, its organizing tools, or community channels without explicit written permission from us.

  • Impersonate Others: Pretend to be another person, organization, activist group, public official, or employee of The People’s Hub.

  • Publish Doxxing Information: Collect, store, or share private personal information (PII) of other individuals—such as home addresses, phone numbers, government identification numbers, or financial details—without their explicit, written consent.

6. USER CONTENT, INTELLECTUAL PROPERTY, & LICENSING

6.1 Ownership of User Content

You retain all copyright, moral rights, and intellectual property ownership over the User Content that you create and post to the Service. Nothing in these Terms of Service transfers ownership of your original ideas, toolkits, articles, or resources to The People’s Hub.

6.2 License Grant to The People’s Hub

However, to operate, host, display, and distribute your material across our infrastructure, we require a technical license from you. Therefore, when you upload or publish User Content on public or shared areas of the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, sub-licensable, and transferable license to:

  • Host, store, index, cache, backup, reproduce, and transmit your User Content.

  • Format, reformat, adapt, translate, display, and distribute your Content across the Platform.

  • Publish summaries, excerpt highlights, or community showcases of public Content to promote the social impact work of The People’s Hub.

6.3 Scope of License

This license exists solely for operating, developing, providing, and promoting the Platform and its community mission. Consequently, we do not sell your original User Content to third-party data brokers or commercial advertisers.

6.4 Representations and Warranties for User Content

By posting User Content to the Service, you represent and warrant that:

  • You own the Content or hold all necessary rights, permissions, and licenses from the original creators to post it.

  • Your Content does not violate the intellectual property, copyright, trademark, trade secret, privacy, or moral rights of any third party.

  • Your Content complies strictly with these Terms of Service and all applicable laws.

7. PLATFORM INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS

7.1 Proprietary Ownership

The People’s Hub and its licensors retain all right, title, and interest in and to the Platform IP. This includes all visual interfaces, software code, graphic designs, database architecture, site structure, editorial content, domain names, logos, registered trademarks, and overall brand identity.

7.2 Limited License Granted Under These Terms of Service

Subject to your continued compliance with these Terms of Service, we grant you a limited, revocable, non-transferable, non-sublicensable, and non-exclusive license to access and use the Platform solely for your personal, community-building, non-commercial movement purposes.

7.3 Restrictions

You may not copy, modify, distribute, create derivative works from, publicly display, or commercialize any Platform IP without obtaining prior written approval from us.

8. PRIVACY, SECURITY, & DATA PROTECTION

8.1 Privacy Policy Incorporation

We handle your personal data and privacy with extreme care and transparency. Our Privacy Policy details how we collect, store, process, protect, and delete user information. By using the Service, you consent to our data processing practices as described in our Privacy Policy and governed by these Terms of Service.

8.2 Digital Security Precautions

While we implement administrative, technical, and physical security measures to safeguard your communications, no internet transmission remains 100% secure. Therefore, we encourage you to use secure passwords, encrypted connections, and reasonable personal digital safety practices when participating in online movements.

9. MODERATION, SUSPENSION, & TERMINATION UNDER THESE TERMS OF SERVICE

9.1 Community Moderation Rights

To protect the safety, integrity, and operational focus of the Platform, we reserve the right, but assume no obligation, to:

  • Review, flag, edit, screen, or remove any User Content that violates these Terms of Service.

  • Investigate suspected breaches of platform security or community guidelines.

  • Restrict access to specific forums, channels, or tools for accounts undergoing review.

9.2 Account Suspension and Termination Procedures

We reserve the right to suspend, restrict, or permanently delete your Account and ban your access to the Service at any time, with or without prior notice, if:

  • You commit a material or repeated violation of these Terms of Service or community guidelines.

  • We receive valid legal process or instructions from law enforcement authorities.

  • Your continued presence poses a security threat, legal liability, or harm to other Users or the Platform.

9.3 Voluntary Termination

Furthermore, you may close your Account and terminate your legal relationship with us at any time by accessing your Account settings or contacting customer support.

9.4 Survival of Provisions

Upon termination, your right to use the Service immediately ceases. However, sections of these Terms of Service that by their nature should survive termination will remain fully effective. These include ownership sections, warranty disclaimers, liability limits, indemnification clauses, and dispute resolution rules.

10. THIRD-PARTY SERVICES, LINKS, & INTEGRATIONS

The Platform may contain links to third-party websites, external organizing tools, donation processors, or integrated applications.

10.1 Independent Third Parties

We do not control, monitor, endorse, or verify the content, privacy policies, safety standards, or practices of any third-party websites or services.

10.2 Assumption of Risk

Therefore, you access third-party links entirely at your own risk. You acknowledge and agree that The People’s Hub will not be liable for any damage, loss, or security compromise caused by your interaction with third-party software, resources, or payment platforms.

11. DISCLAIMERS & EXCLUSION OF WARRANTIES

11.1 "As Is" and "As Available" Service

The People’s Hub provides the Service strictly on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted under applicable law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise.

11.2 Specific Disclaimers Under These Terms of Service

Without limiting the generality of the foregoing, we explicitly disclaim all implied warranties of:

  • Merchantability, fitness for a particular purpose, title, and non-infringement.

  • Continuous, uninterrupted, error-free, secure, or bug-free operation of the Platform.

  • Accuracy, completeness, timeliness, or reliability of any Content posted by Users or third parties.

  • Freedom from malicious code, server vulnerabilities, or data loss.

11.3 User Responsibility

Any material downloaded, accessed, or obtained through the Service occurs at your own discretion and risk. As a result, you are solely responsible for any damage to your computer hardware, mobile device, or data loss that results from such activities.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Indirect Damages

To the fullest extent permitted by applicable law, in no event shall The People’s Hub, its founders, directors, employees, volunteers, partners, licensors, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever.

12.2 Categories of Excluded Losses

This exclusion applies to, but is not limited to:

  • Loss of profits, loss of data, loss of goodwill, or business interruption.

  • Computer hardware damage, system failure, or software corruption.

  • The cost of procuring substitute software or digital services.

  • Personal injury, emotional distress, or property damage arising out of your access to or use of the Service.

12.3 Liability Cap Under These Terms of Service

In no event shall our total cumulative liability arising out of or related to these Terms of Service, the Platform, or the Service exceed one hundred United States Dollars ($100.00 USD) or the total amount you paid us (if any) during the past six months, whichever is greater.

12.4 Jurisdictional Exceptions

Some legal jurisdictions do not allow limits on implied warranties or the exclusion of incidental or consequential damages. In those states or countries, our liability will be limited to the minimum extent allowed by law.

13. INDEMNIFICATION & HOLD HARMLESS

You agree to defend, indemnify, and hold harmless The People’s Hub, along with its officers, directors, employees, volunteers, contractors, agents, licensors, and successors, from and against any third-party legal claims, liabilities, losses, damages, injuries, expenses, or costs (including reasonable legal fees and court costs) arising from or related to:

  • Your access to, use of, or misuse of the Service.

  • Any User Content that you upload, submit, display, or transmit through the Platform.

  • Your violation of any provision contained within these Terms of Service or our integrated policies.

  • Your violation of any third-party rights, including intellectual property, privacy, publicity, or contractual rights.

  • Your violation of any applicable local, national, or international laws or regulations.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In that event, you agree to cooperate fully with our legal defense strategies.

14. GOVERNING LAW, JURISDICTION, & DISPUTE RESOLUTION

14.1 Governing Law

The laws of the State of California, United States govern these Terms of Service and any dispute or legal claim arising between you and The People’s Hub, without giving effect to its conflict of law principles.

14.2 Informal Dispute Resolution

We want to resolve disputes efficiently and amicably without costly litigation. Therefore, before filing a formal lawsuit or arbitration claim against us, you agree to contact us informally at [insert contact email]. We will make a good-faith effort to resolve the dispute through informal negotiations within sixty (60) days.

14.3 Binding Arbitration

If informal negotiation fails to resolve the issue, any remaining dispute, claim, or controversy arising out of or relating to these Terms of Service will be settled exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

14.4 Forum Selection

The arbitration will take place in San Francisco County, California, or via remote video conferencing upon mutual agreement. Judgment on the arbitration award may be entered in any court having jurisdiction.

14.5 Class Action and Jury Trial Waiver

You and The People’s Hub agree that each party may bring claims against the other only in an individual capacity. You explicitly waive the right to:

  • Participate as a plaintiff or class member in any class action, collective lawsuit, or representative proceeding.

  • Request a trial by jury in any legal proceeding.

15. GENERAL PROVISIONS, SEVERABILITY, & ENTIRE AGREEMENT

15.1 Entire Agreement

These Terms of Service, combined with our Privacy Policy and Community Guidelines, constitute the entire legal agreement between you and The People’s Hub regarding the Service. They supersede all prior understandings, drafts, proposals, agreements, or communications, whether written or oral.

15.2 Severability

If any court or competent tribunal finds any provision of these Terms of Service to be unlawful, invalid, or unenforceable, that specific provision will be modified to the minimum extent necessary to make it valid and enforceable. If modification is impossible, the provision will be severed, and all remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce or exercise any right or provision under these Terms of Service will not constitute a waiver of that right or provision. Any waiver must be provided in writing and signed by an authorized representative of The People’s Hub.

15.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms of Service without our prior written consent. However, we may assign or transfer our rights and obligations under this Agreement without restriction in connection with an organizational restructuring, merger, acquisition, or sale of assets.

15.5 Force Majeure

The People’s Hub will not be liable for any delay, failure in performance, or service outage resulting directly or indirectly from acts of God, extreme weather events, war, terrorism, civil unrest, labor strikes, power outages, fiber cuts, telecommunications disruptions, cyberattacks, or government mandates beyond our reasonable control.

16. MODIFICATIONS & REVISING THESE TERMS OF SERVICE

We continually improve our Platform, build new tools, and adapt to legal changes. Consequently, we reserve the right to modify, update, or replace these Terms of Service at any time in our sole discretion.

16.1 Notice of Changes

When we make material updates to these Terms of Service, we will notify you by:

  • Posting the revised document directly on this page with an updated "Last Updated" date.

  • Sending an email notification to the address registered to your Account (for major changes).

  • Displaying a prominent banner or notification notice within the Service dashboard.

16.2 Acceptable Period and Continued Use

Modified Terms of Service take effect immediately upon posting unless we specify a future effective date. Your continued use of or access to the Service after the modified terms take effect constitutes your full acceptance of the revised Agreement. If you do not agree to the updated rules, you must close your Account and stop using the Platform immediately.

17. REPORTING TERMS OF SERVICE VIOLATIONS & CONTACT INFORMATION

We actively encourage our community to help us keep The People’s Hub safe, accountable, and supportive for everyone.

17.1 Reporting Harmful Content

If you encounter User Content, behavior, or security vulnerabilities that violate these Terms of Service, please submit a detailed report to our moderation and safety team.
